Service Agreement

This Agreement is made by and between you (the "Client") and GayREAD.com (the "Promoter"). The Client and the Promoter (the "Parties") agree as follows:

RECITALS
1. The Promoter shall provide online promotion of the Client's professional services in a professional manner and in accordance with rules generally respected by the industry, as specified by this agreement.  
2. For the duration of this Agreement, the Client shall be represented on the Promoter's GayREAD.com Real Estate Agent Directory website. 
3. The Client agrees to maintain his/her professional stature for the duration of this Agreement, and to abide by the general terms and provisions of this Agreement.
COMMITMENT TO THE CLIENT
4. The Promoter is committed to the success of the Client.  To that end, the Promoter shall promote the Client's online presence and professional services in a professional manner and in accordance with rules generally respected by the industry.
5. The Promoter maintains promotional web sites (the "GayREAD.com Real Estate Agent Directories") and shall add information elements to one or more of these web site(s) promoting the professional services of the Client.
PROMOTIONAL SERVICES
6. The Promoter shall create and host a promotional web page (an "E-Card") for the Client containing the Client's marketing and contact information for the promotion of the Client.
7. The Promoter shall promote the Client, as a member of the collective, at the state and national levels by promoting the GayREAD Real Estate Agent Directories so as to generate web traffic and to encourage web visitors to contact the Client and/or visit the Client's web site when applicable.
8. The Promoter shall promote the GayREAD Real Estate Agent Directories using established and respected techniques, which may include, but are not limited to: Key Word Optimization, Web Site Themes, Link Popularity Networks, Pay-for-Performance Advertising,  Framed Doorway Pages, Informational Doorway Pages, and Spider-Friendly Hallway Pages. 
9. The Promoter shall perform the necessary submissions to major search engines. The Promoter shall also hand submit GayREAD Real Estate Agent Directories to major web directories. The Promoter shall monitor the placement of the promotional web sites in search engine results. When warranted, the Promoter shall perform necessary modifications and resubmissions for each promotional web site.
ADDITIONAL SERVICES
10. The Promoter shall monitor the performance of the various promotional elements and promotional techniques and regularly report this information to the Client.
11. The Promoter shall provide the Client with a variety of promotion assistance and information, such as a newsletter of promotion tips and advice.
PROFESSIONAL STATURE
To ensure that the collective achieves and maintains a well-respected stature, the Promoter has established certain standards for the members of the collective:
12. The Client shall maintain a valid real estate license for the duration of the Agreement.
13. The Client shall provide real estate services to their customers in a friendly, professional, and competent manner. To maintain the highest quality collective of Realtors, the Promoter reserves the right to separate from any member if the Promoter determines that continued association with the member would reflect poorly on the Promoter or the other members of the collective.
14. Furthermore, the Client agrees to treat all their customers equally and professionally, regardless of sexual orientation.  In addition, the Client agrees to remain knowledgeable of gay-related real estate issues and provide the Client's customers with gay-related information as appropriate, in accordance with the laws and standards of the Client's governing state and real estate office.
COLLABORATION
15. Unless the Client has a legitimate and compelling business reason, the Client agrees to grant the Promoter approval for any promotional elements developed by the Promoter to promote the Client's services, so long as these elements are legal, tasteful, professional, and effective.
16. The Promoter may from time to time offer optional programs for members of the collective. Participation in these programs is not required; however, the Promoter strongly encourages the Client to take advantage of all the benefits offered by membership in the collective. In particular, the Promoter encourages the Client, and the other members of the collective, to share success stories, marketing tips, and so on. 
CONTENT
17. The Client agrees to provide the content and information necessary for the Promoter to create promotional web elements for the Client. In particular, the Client agrees to fill out and return the online Questionnaire in a timely manner and, if necessary, to provide supplemental content such as pictures and logos.
18. The Client warrants that all information provided by the Client complies with all applicable laws and regulations including, without limitation, laws and regulations related to intellectual property, advertising, promotional contests, consumer protection, personal information protection and protection of minors.
19. The Client agrees to be solely liable for the content of the information used in the various promotional elements, and for any and all damages that may ensue from the use or display of that information.
PAYMENT
20. The Client agrees to pay all fees in a timely manner and in accordance with the terms and conditions indicated in this Agreement.
21. If, at the Client's request, the Promoter agrees to provide supplemental promotion services, which incur additional fees, the Promoter shall provide a purchase order and secure the Client's agreement prior to commencing the services. The Client agrees to pay for the services in accordance with said agreement and in a timely fashion.
TERM OF AGREEMENT
19. Effective Dates. This Agreement is valid through the end of December, 2007, or until terminated or cancelled according to the following terms.
20. Termination.  This Agreement shall terminate in any of the following circumstances:
* upon the written consent of both Parties;
* in case of termination, as provided for in this Agreement;
* if either party fails to fulfill any of its obligations hereunder and does not remedy the default within a period of 30 days following receipt by the defaulting party of a formal notice asking it to remedy the default (or within a shorter delay if so provided for in this Agreement);
* if either party becomes bankrupt or insolvent, or ceases to carry on business.
21. Cancellation by the Promoter. The Promoter retains the right to cancel this Agreement at any time if the Promoter determines that the Client has failed to fulfill any of the Client's obligations under this Agreement. In such a case, a full reimbursement will be made for any remaining balance on the Client's account.
GENERAL PROVISIONS
22. Means of Execution. Except for the fulfillment of the obligations stated in this Agreement, the Promoter retains the freedom to choose the manner of execution of this Agreement.
23. Subcontracting. Unless otherwise stated in this Agreement, the Promoter may employ any third person to carry out this Agreement. However, the performance of this Agreement remains under the Promoter's supervision and responsibility. 
24. No Right to Transfer. The Parties may not in any manner whatsoever, assign, transfer or convey the rights in this Agreement to any third party, without a written agreement signed by all Parties. 
25. Joint and Several Liability. Whenever one of the Parties to this Agreement is constituted of two or more persons, these persons shall be jointly and severally liable towards the other party. 
26. Limitation of Liability. The Promoter shall not be liable towards the Client for any fault and ensuing damage, whether direct or indirect, and the Client holds the Promoter harmless and free from any claim which may arise. 
27. Intellectual Property. All intellectual property rights, titles, and interests with respect to the information provided by the Client, (specifically, any information concerning the Client's professional services) shall belong to the Client, where applicable. The Promoter's use of this information shall be restricted to the purposes of promoting the Client's services and online presence.
The promotional elements designed by the Promoter, including the Network of Realtor Directories and the design of Promotional Web Pages shall be owned wholly by the Promoter. In addition, the Promoter retains the rights to all Promotional Domain Names.
28. Indemnification. The Client shall defend and hold harmless the Promoter, if the Promoter is called in or introduced as a party in legal proceedings instituted by a third party alleging fault on the part of the Promoter resulting from the presence, use, or display of materials promoting the Client's services, and the Client shall indemnify the Promoter for any monetary condemnation in capital and interests, and for any expenses, including legal and attorney fees, incurred as a consequence thereof.
29. Warranty. The only warranty made by the Promoter is that the Promoter shall take the available and reasonable measures to promote the Client's web site in a professional and efficient manner according to the rules generally accepted by the industry and as described in this Agreement. 
In particular, the Promoter makes no warranty to the Client, express or implied, with regard to: 
* the operation of the search engines, directories or indexes;
* the acceptance of the submissions by search engines, directories or indexes;
* the outcomes, financial or not, real or apprehended, positive or not, resulting from or which may result from the promotion services.
30. Elapsed Time. Whenever one of the Parties to this Agreement fails to fulfill an obligation under this Agreement within a stipulated deadline, the mere lapse of time shall constitute a formal notice of default.
31. Governing Law. This Agreement shall be construed and enforced in accordance with the laws in force in the state of Arizona.
32. Election of Domicile. The Client agrees to elect domicile in the judicial district of Maricopa County, state of Arizona, for the hearing of any claim arising with respect to the interpretation, application, performance, term, validity or effects of this Agreement.
33. Severability. If all or part of any section, paragraph or provision of this Agreement is held invalid or unenforceable, it shall not have any effect whatsoever on any other section, paragraph or provision of this Agreement, nor on the remainder of the said section, paragraph or provision.
